Thank you for using AI MIRROR, a product of Polyverse Entertainment Inc (“Polyverse”).

These Terms of Services (“Terms”) is entered into by Polyverse and the entity or person agreeing to these terms (“you”) and apply when you use the services provided by AI MIRROR mobile application (“the Services”). AI Mirror is an artificial intelligence-powered photo and video editing application that allows you to transform your photos with advanced editing tools, AI enhancement features, avatar creation, and other digital content creation services. By accessing the Services, you agree to bound by these Terms and to comply with all applicable laws and regulations. If you do not agree to these Terms, please do not access or use the Service and immediately uninstall the App. For how Polyverse handles your personal data, please refer to our Privacy Policy .

These Terms may be amended, updated and presented again to you from time to time. Your continued access to the Services constitutes your acceptance of the amended or updated terms. If you do not agree to these Terms, its amendments or its updates, please stop using the Services.


1. Eligibility and Access

1.1 Age Requirement

To use AI Mirror, you confirm that you are at least 13 years old to access the Services provided by AI MIRROR. If you are over 12 but under the minimum age of digital consent in your country, your parent or guardian must review these Terms and agree on your behalf. If you use AI MIRROR on behalf of another person or entity, you must have the authority to accept these Terms on their behalf.

1.2 Account Creation

To access certain features of the Service, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

You may use the Services for free or subscribe to various paying plans. Access to certain content may be limited based on your subscription plan. Specific types of content are only available on select subscription plans, so your ability to view that content is determined by your current subscription status.

1.3 Account Responsibility

You are solely responsible for your conduct and any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, authorship applications, links, and other content or materials (collectively, "User Content") that you submit, post, or display on or through the Service. We are not responsible for any loss or damage arising from your failure to comply with these obligations.

You may upload images and videos, and input text prompt while using the Services (“Input”), and received output such as images or videos generated and returned by the Services based on the Input (“Output”). Input and Output are collectively referred to as “Content”. As between the parties and to the extent permitted by applicable law and regulation, you own all the Content and are solely responsible for the Content.


2. Your Use of the Service

2.1 License to Use the Service

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal, non-commercial use. This license does not permit you to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service, except as generally and ordinarily permitted through the Service's functionality.

Due to the nature of machine learning and artificial intelligence, the Services may provide incorrect or offensive Output that does not represent Polyverse’s views. No guarantees are made with respect to Content quality and reliability. You are responsible for evaluating the appropriateness of Output for your specific use case.

2.2 Prohibited Uses

You agree not to use the Service:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • For the purpose of exploiting, harming, or attempting to exploit or harm minors in any way by exposing them to inappropriate content or otherwise.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation.
  • To impersonate or attempt to impersonate AI Mirror, an AI Mirror employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service, or which, as determined by us, may harm AI Mirror or users of the Service or expose them to liability.

Additionally, you agree not to:

  • Use the Service in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the Service.
  • Use any robot, spider, or other automatic device, process, or means to access the Service for any purpose, including monitoring or copying any of the material on the Service.
  • Use any manual process to monitor or copy any of the material on the Service or for any other unauthorized purpose without our prior written consent.
  • Use any device, software, or routine that interferes with the proper working of the Service.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other material that is malicious or technologically harmful.
  • Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service.
  • Attack the Service via a denial-of-service attack or a distributed denial-of-service attack.
  • Otherwise attempt to interfere with the proper working of the Service.

Your knowingly violation of these Terms may result in the termination of the Services, and Polyverse may take further action as deemed appropriate. With regard to termination of accounts and the Services due to violation of these Terms, Polyverse reserves the right to refuse to issue a full or partial refund for any subscription fee.

2.3 Content Guidelines

You acknowledge that your use of the Services is subject to, and you agree to comply with the Content Guidelines as may be amended and updated from time to time.

When creating or uploading User Content, you agree to adhere to the following guidelines:

  • No Illegal Content: Do not create, upload, or share content that is illegal, promote illegal activities, or violate any applicable laws.
  • No Harmful Content: Do not create, upload, or share content that is harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
  • No Infringing Content: Do not create, upload, or share content that infringes upon the intellectual property rights of others, including copyrights, trademarks, patents, trade secrets, or other proprietary rights.
  • No Impersonation: Do not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • No Personal Information of Others: Do not upload or share personal information of others without their explicit consent.
  • Proper Rights for Uploaded Content: When you upload photos or videos of other people, you must have the necessary rights, permissions, or consents from those individuals to do so. You are solely responsible for ensuring that your User Content does not violate the privacy or publicity rights of any third party.
  • Consequences of Illegal Use/Upload: Any illegal use or unauthorized upload of others' pictures or videos, including but not limited to copyright infringement or violation of privacy rights, will result in immediate account suspension or termination, at our sole discretion, and may lead to further legal action.

Polyverse reserves the right to remove any User Content that violates these guidelines or is otherwise objectionable, in our sole discretion, without prior notice. You acknowledge and represent that any Content you generate or share in the community will not infringe upon or violate the rights of any person and such Content is complied with these Terms and any applicable laws and regulations.

2.4 Thrid-party Advertisement

You understand and agree that Polyverse can present you advertisements during your use of the Services. The advertisements are provided by third-party and Polyverse has no control over the content and quality of such advertisements. You further acknowledge that transaction with such third-party is at your sole risk. Polyverse will not be liable for disputes arising out of the third-party advertisements.


3. Intellectual Property Rights

3.1 Your Content

You retain all ownership rights in your original User Content that you upload to the Service. By uploading User Content, you grant Polyverse a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Service and AI Mirror's (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

3.2 AI-Generated Content

AI Mirror utilizes artificial intelligence to transform and enhance your User Content. The output generated by our AI (the "AI-Generated Content") is a derivative work based on your User Content and our proprietary AI algorithms. As between you and AI Mirror, you own the AI-Generated Content, subject to your compliance with these Terms and any third-party licenses applicable to the AI models used. However, you acknowledge that AI-Generated Content may be similar to content generated by other users or to existing works. We do not guarantee the uniqueness or originality of AI-Generated Content. You are responsible for ensuring that your use of AI-Generated Content complies with all applicable laws and does not infringe upon the rights of any third party.

3.3 AI Mirror's Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content and AI-Generated Content), including all software, algorithms, designs, graphics, text, images, information, and other content, are and will remain the exclusive property of AI Mirror and its licensors. The AI Mirror name, logo, and any other AI Mirror product names, service names, or slogans displayed on the Service are trademarks of AI Mirror and may not be used without our prior written permission.


4. Subscription and Billing

4.1 Fees and Payments

AI Mirror offers both free and paid features. Certain basic functionalities may be available for free, while premium features, advanced AI models, and higher usage limits may require a paid subscription. Polyverse may invoice you for your use of the Services in accordance to the prices on the applicable pricing page and Polyverse reserves the right to correct pricing errors or mistakes even if an invoice has been issued to You. Polyverse may carry out promotional activities that may result in a discount on price. Due to the time sensitive and promotional nature of the discount, price matching after promotion period and refunds for previous purchases are not available.

4.2 Subscription Terms

If you subscribe to a paid plan, you agree to the pricing and payment terms presented to you at the time of subscription. Subscriptions may be billed on a recurring basis (e.g., weekly or annually) and will automatically renew unless you cancel them before the end of the current billing period. You can manage your subscriptions through your device's app store settings (e.g., Apple App Store, Google Play Store or Samsung Galaxy store).

The Premium Subscription may allow you to unlock additional style templates, functionalities, features or enhancements within the Services. You acknowledge that your Premium Subscription is subject to the App Markeplace’s subscription policy. The Services may also enable you to use promotional codes to extend your free-trial period (“Promotional Codes”). Promotional Codes have no cash value, are personal, non-transferable, non-sublicensable. You acknowledge and agree that the use of Promotional Codes could not be cancelled and Polyverse has no obligation to provide any compensation in connection with Promotional Codes.

You agree to provide complete and accurate billing information. You authorize Polyverse and its affiliates, and third-party payment processor(s), to charge your payment method for any invoiced fees. If your payment cannot be completed, Polyverse will provide you with notice and may suspend your access to the Services until the payment is received. Payments are non-refundable except as provided in this Agreement.

4.3 Cancellation and Refunds

You can cancel your subscription at any time through your device's app store settings. Cancellations will take effect at the end of your current billing period. We generally do not offer refunds for partial subscription periods or unused services, except as required by applicable law.


5. Disclaimers and Limitation of Liability

5.1 Service Availability

We strive to keep AI Mirror available and functioning smoothly, but we do not guarantee that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. We may suspend or terminate the Service, or your access to it, at any time for any reason, including maintenance, upgrades, or technical issues, without prior notice or liability.

5.2 AI Limitations

You acknowledge that AI-Generated Content is produced by artificial intelligence and may not always be accurate, complete, or free from errors. The quality and nature of AI-Generated Content can vary and may not always meet your expectations. We do not warrant the accuracy, reliability, or completeness of any AI-Generated Content.

5.3 Limitation of Liability

NEITHER POLYVERSE NOR ANY AFFILIATES OR LICENSORS OF POLYVERSE WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE OR DATA OR OTHER LOSSES, EVEN IF POLYVERSE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. POLYVERSE’S AGGREGATE LIABILITY UNDER THIS TERMS SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDERED DOLLARS ($100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

5.4 Disclaimer

YOUR USE OF SERVICE IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED “AS IS” EXCEPT TO THE EXTENT PROHIBITED BY APPLICABLE LAW. POLYVERSE AND ITS AFFILIATES MAKE NO WARRANTIES, NO MATTER EXPRESSED OR IMPLIIED, STATUTORY OR OTHERWEISE, WITH REPSECT TO THE SERVICES, AND DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRIGNEMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. POLYVERSE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE OR ERROR FREE, OR THAT ANY CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

5.5 Indemnification

You agree to defend, indemnify, and hold harmless Polyverse, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, AI-Generated Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.


6. Governing Law and Dispute Resolution

THE FOLLOWING SECTION INCLUDES MANDATORY ARBITRATION CLAUSE AND CLASS ACTION WAVIER PROVISION. IT MAY SIGNIFICANTLY AFFECT YOUR LEGAL RIGHTS, PLEASE READ IT CAREFULLY.

6.1 Governing Law

These Terms and your use of the Services shall be governed by and constructed in accordance with the laws of the State of New York, United States of America without giving effect to any choice or conflict of laws provisions. The United Nations Convention on Contracts for the International Sale of Goods should not apply to these Terms.

6.2 Arbitration

All disputes arising out of, or in connection to these Terms or any aspect of the relationship between you and Polyverse and its affiliates (“Disputes”), will be resolved by binding arbitration rather than in a court by a judge or jury. You and Polyverse agree that both parties will first try to negotiate and settle the Disputes in good faith in 30 days after the Disputes arise. If the parties fail to settle after 30 days, the Disputes shall be brought to Arbitration by the JAMS in accordance with the then effective JAMS Comprehensive Rules. The arbitral tribunal will consist of one sole arbitrator and both parties will mutually select one arbitrator. The arbitration will be held in English in New York, New York, USA. The arbitral award will be final and binding on the parties.

6.3 Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us and you individually. To the full extent permitted by law, (i) no arbitration or proceeding shall be joined with any other; (ii) there is no right or authority for any dispute to be arbitrated or resolved on a class-action basis or to utilize class action procedures; and (iii) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.


7. Miscellaneous

7.1 Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Polyverse regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Service.

7.2 Severability

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

7.3 Waiver

No waiver by Polyverse of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Polyverse to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

7.4 Termination

We may, in our sole discretion and without liability to you, with or without prior notice and at any time, modify or discontinue, temporarily or permanently, any portion of the Services.

You may stop accessing the Services at any time for any reason. Polyverse may terminate your access to the Services at any time without prior notice if Polyverse determines:

  • You breached any of these Terms.
  • Polyverse must do so to comply with the law.
  • Your use of the Services could cause risk or harm to Polyverse, our users, or anyone else.

If Polyverse terminates your account, we will make reasonable efforts to notify you in advance so you can export your Content or your data from the Services, unless it is not appropriate for us to do so, we reasonably believe that continued access to your account will cause damage to Polyverse, our users, or anyone else, or we are legally prohibited from doing so.The termination and cease of use of the Services do not exempt you from the liability of breaching these Terms or conducting any fraudulent, abusive or illegal activity.

If you believe Polyverse has suspended or terminated your account in error, you can file an appeal with us by contacting our Support team ( [email protected] ).

7.5 Equitable Remedies

You acknowledge that your violation of these Terms may cause irreparable harm to Polyverse and its affiliates, and Polyverse shall have the right to seek injunctive relief against You in addition to any other legal remedies.

(1) Polyverse may issue notice to you by: (i) sending you In-app notice, or (ii) sending you email using the email address you provided. Notice Polyverse sent to you will be deemed given on: (i) the date of posting the In-app notice if notice is sent via In-app notice, (ii)the date of receipt if delivered by email, or (iii) on the date sent via courier if delivered by post.

(2) You may give notice to Polyverse by: (i) sending email to [email protected] , or (ii) personal delivery, overnight courier or registered or certified mail to 200 Continental Drive, Suite 401, 19713 Newark, DE, US.

These Terms of Use are effective as of the date listed above and apply to all users of the AI Mirror Service.
